This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and ExForms ("Company," "we," "us," or "our") for the use of the ExForms QuickBooks Integration application ("Application" or "App").

BY INSTALLING, ACCESSING, OR USING THE APPLICATION, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE APPLICATION.

1. Overview of the Application

1.1 Description

The ExForms QuickBooks Integration is a connector application that enables users to:

  • Synchronize data between Microsoft Excel and QuickBooks Online
  • Create, update, and manage QuickBooks entities (Customers, Vendors, Items, Invoices, etc.) using data from Excel worksheets
  • Import QuickBooks data into Excel for reporting and analysis
  • Automate data transfer workflows between Excel and QuickBooks

1.2 How It Works

The Application functions as a bridge between Microsoft Excel (via the ExForms Office Add-in) and your QuickBooks Online account:

  1. Authentication: You authorize the Application to access your QuickBooks Online account using OAuth 2.0, the industry-standard secure authorization protocol
  2. Data Mapping: You configure which Excel data fields correspond to QuickBooks entity fields
  3. Data Synchronization: The Application transfers data between Excel and QuickBooks based on your configuration
  4. Processing: All data processing occurs on ExForms secure servers, never on your local device

2. License Grant

2.1 Limited License

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Install and use the Application in conjunction with your valid ExForms subscription
  • Connect the Application to your authorized QuickBooks Online account(s)
  • Use the Application for your internal business purposes

2.2 Restrictions

You may NOT:

  • Sublicense, sell, resell, transfer, assign, or distribute the Application
  • Modify, reverse engineer, decompile, or disassemble the Application
  • Use the Application to violate any laws or regulations
  • Use the Application to process data you do not have the right to process
  • Attempt to gain unauthorized access to QuickBooks accounts or data
  • Use the Application in any manner that could damage, disable, or impair our services or QuickBooks services
  • Remove or modify any proprietary notices or labels on the Application

3. QuickBooks Integration Terms

3.1 QuickBooks Account Required

Use of this Application requires:

  • An active QuickBooks Online subscription (sold separately by Intuit)
  • Authorization of the Application to access your QuickBooks Online account
  • Compliance with Intuit's QuickBooks Terms of Service

3.2 OAuth Authorization

When you connect the Application to QuickBooks:

  • You will be redirected to Intuit's secure login page
  • You must authorize specific permissions for the Application
  • You can revoke access at any time through your QuickBooks account settings or the ExForms Application
  • The Application only requests permissions necessary for its functionality

3.3 Data Access Permissions

The Application may request access to the following QuickBooks data (based on your selected sync operations):

3.4 Intuit Terms

Your use of QuickBooks through this Application is also subject to Intuit's terms and policies. In case of conflict between this Agreement and Intuit's terms regarding QuickBooks functionality, Intuit's terms shall prevail for QuickBooks-specific matters.

4. Data Handling and Security

4.1 Your Data Ownership

  • You retain all ownership rights to your data
  • We do not claim any ownership of data you process through the Application
  • Your QuickBooks data remains in your QuickBooks account; we do not store copies

4.2 Data Processing

When you use the Application:

  • Excel data you submit is transmitted securely (TLS 1.2+) to our servers
  • Data is processed in memory to perform the synchronization
  • Data is immediately transmitted to QuickBooks via secure API calls
  • No permanent copies of your transactional data are retained on our servers

4.3 Credential Security

  • Your QuickBooks OAuth tokens are stored securely in Azure Key Vault
  • We use Hardware Security Module (HSM) backed encryption
  • We never store your QuickBooks username or password
  • Access tokens are automatically refreshed; you don't need to re-authorize frequently

4.4 Security Measures

We implement comprehensive security measures including:

  • AES-256 encryption for data at rest
  • TLS 1.2+ encryption for data in transit
  • Azure Key Vault for credential storage
  • SOC 2 Type II compliant infrastructure
  • Regular security audits and penetration testing
  • Container isolation for processing operations

5. Privacy

5.1 Privacy Policy

Your use of the Application is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

5.2 Data We Collect

The Application collects:

  • Account Information: Your ExForms account details
  • Connection Metadata: Which QuickBooks company you've connected, connection status
  • Usage Data: Sync operation logs, error logs for troubleshooting
  • OAuth Tokens: Encrypted tokens to maintain your QuickBooks connection

5.3 Data We Do NOT Collect or Store

  • Your QuickBooks username or password
  • Permanent copies of your QuickBooks business data
  • Your Excel file contents (only processed transiently)

6. Subscription and Fees

6.1 ExForms Subscription Required

The Application requires an active ExForms subscription that includes connector access:

6.2 QuickBooks Subscription

Your QuickBooks Online subscription is a separate product sold by Intuit. ExForms is not responsible for QuickBooks pricing, availability, or functionality.

6.3 Usage Limits

Your ExForms plan includes limits on:

  • Number of sync operations per month
  • Number of records per sync operation
  • Number of connected destinations

7. Support and Updates

7.1 Support

We provide support for the Application through:

  • Documentation at exceltoforms.com/docs
  • Email support (response times vary by plan)
  • In-app help resources

7.2 Updates

  • We may update the Application periodically to improve functionality, security, or compatibility
  • Updates may be applied automatically
  • Significant changes will be communicated via email or in-app notification
  • Continued use after updates constitutes acceptance of any modified terms

8. Disclaimers and Limitations

8.1 "AS IS" Provision

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF DATA

8.2 No Guarantee of Availability

We do not guarantee that:

  • The Application will be available at all times
  • The Application will be error-free
  • QuickBooks API availability or functionality
  • Data synchronization will always succeed

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID FOR THE APPLICATION IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR ERRORS IN QUICKBOOKS DATA RESULTING FROM YOUR USE OF THE APPLICATION

8.4 Your Responsibility

You are solely responsible for:

  • Verifying the accuracy of data before and after synchronization
  • Maintaining backups of your QuickBooks data
  • Ensuring your use complies with applicable laws and regulations
  • The configuration of field mappings and sync settings
  • Any tax, accounting, or legal implications of data changes

9. Indemnification

You agree to indemnify, defend, and hold harmless ExForms and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Application
  • Your violation of this Agreement
  • Your violation of any third-party rights
  • Any data you process through the Application

10. Term and Termination

10.1 Term

This Agreement is effective until terminated by either party.

10.2 Termination by You

You may terminate this Agreement at any time by:

  • Disconnecting the QuickBooks integration from your ExForms account
  • Revoking Application access from your QuickBooks account
  • Canceling your ExForms subscription

10.3 Termination by Us

We may terminate or suspend your access if:

  • You violate this Agreement
  • Your ExForms subscription expires or is canceled
  • We discontinue the Application (with reasonable notice)
  • Required by law or by Intuit

10.4 Effect of Termination

Upon termination:

  • Your license to use the Application immediately ends
  • Your OAuth tokens will be deleted from our systems
  • No further data synchronization will occur
  • Sections 8, 9, and 11 survive termination

11. General Provisions

11.1 Entire Agreement

This Agreement, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and ExForms regarding the Application.

11.2 Amendments

We may modify this Agreement by posting updated terms. Continued use after posting constitutes acceptance. Material changes will be communicated via email.

11.3 Severability

If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect.

11.4 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

11.5 Assignment

You may not assign this Agreement. We may assign our rights and obligations without restriction.

11.6 Governing Law

This Agreement is governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

11.7 Dispute Resolution

Any disputes shall be resolved through binding arbitration in accordance with [Arbitration Rules], except that either party may seek injunctive relief in court.

13. Acknowledgment

BY USING THE EXFORMS QUICKBOOKS INTEGRATION, YOU ACKNOWLEDGE THAT:

  1. You have read and understood this Agreement
  2. You agree to be bound by its terms and conditions
  3. You have the authority to enter into this Agreement
  4. You understand that this Application interacts with your QuickBooks data
